These Terms of Service ("Terms") govern your access to and use of the website profitmindai.life and the educational programmes, courses, and advisory services offered by ProfitMindAI Pte. Ltd. ("ProfitMindAI", "we", "us", or "our"), a company registered in Singapore under UEN 202219573M. By accessing our website or enrolling in any programme, you agree to be bound by these Terms. If you do not agree, you must not use our services.

1. Definitions

"Programmes" refers to structured educational pathways including but not limited to the Executive Briefing, Manager's Programme, Founder's Track, Governance & Ethics, and Custom Advisory. "Courses" refers to individual modular units identified by PMA codes. "Participant" refers to any individual enrolled in or attending a Programme or Course. "Materials" refers to all content provided during Programmes and Courses, including slides, workbooks, case studies, and digital resources.

2. Nature of Services

ProfitMindAI provides professional education related to artificial intelligence strategy, governance, and adoption. Our services are educational in nature and do not constitute legal advice, financial advice, investment advice, employment placement services, or technical implementation services unless explicitly agreed in a separate written advisory contract. We do not guarantee any specific outcomes including job placement, promotion, salary increase, business revenue, or financial returns. The term "profit-minded" describes our educational approach to ROI thinking and does not constitute a promise of profit or financial gain.

3. Website Use

You may use our website for lawful purposes only. You agree not to:

• Use the website in any way that violates applicable laws or regulations.
• Attempt to gain unauthorised access to our systems, networks, or data.
• Transmit malware, spam, or other harmful content.
• Scrape, copy, or reproduce website content for commercial purposes without our written consent.
• Misrepresent your identity or affiliation when submitting enquiries or enrolment applications.

We reserve the right to suspend or terminate access to our website for violations of these Terms.

4. Enrolment and Payment

Programme and Course enrolment is confirmed upon receipt of full payment and a signed programme agreement or registration confirmation. Fees are stated in Singapore Dollars unless otherwise specified and are exclusive of applicable taxes. Payment methods and schedules are communicated at registration. We reserve the right to modify fees for future cohorts; confirmed enrolments are honoured at the fee quoted at time of registration.

5. Cancellation and Refund Policy

Cancellation requests must be submitted in writing to [email protected]. The following policy applies:

• Cancellation more than fourteen (14) calendar days before the programme start date: full refund minus a SGD 50 administrative fee.
• Cancellation between seven (7) and fourteen (14) calendar days before start: fifty percent (50%) credit toward a future programme within twelve months.
• Cancellation less than seven (7) calendar days before start or non-attendance: no refund or credit.
• ProfitMindAI reserves the right to cancel or reschedule programmes due to insufficient enrolment, facilitator unavailability, or force majeure events. In such cases, participants may choose a full refund or transfer to the next available cohort.

6. Intellectual Property

All Materials provided during Programmes and Courses are the intellectual property of ProfitMindAI or its licensors. Participants receive a limited, non-exclusive, non-transferable licence to use Materials for personal professional development. You may not reproduce, distribute, sell, publicly display, or create derivative works from Materials without our prior written consent. Case studies and frameworks may be referenced in internal organisational documents with attribution to ProfitMindAI.

7. Participant Conduct

Participants are expected to conduct themselves professionally during all sessions. We reserve the right to remove any participant who engages in disruptive, discriminatory, or harassing behaviour without refund. Recording of sessions by participants is prohibited unless explicitly authorised in writing.

8. AI and Educational Disclaimers

Content presented in our Programmes and Courses reflects frameworks, case studies, and industry practices current at the time of delivery. Artificial intelligence technologies, tools, and regulatory requirements evolve rapidly. We make no warranty that information presented will remain accurate or applicable at the time of your implementation. Participants are responsible for independently validating any frameworks, tools, or regulatory guidance before operational deployment. Examples and case studies are illustrative and may not reflect outcomes in your specific organisational context.

9. Limitation of Liability

To the maximum extent permitted by Singapore law, ProfitMindAI and its directors, employees, and facilitators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or participation in our Programmes and Courses. Our total aggregate liability for any claim arising under these Terms shall not exceed the fees paid by you for the specific Programme or Course giving rise to the claim. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.

10. Indemnification

You agree to indemnify and hold harmless ProfitMindAI from any claims, damages, losses, or expenses arising from your violation of these Terms, your misuse of Materials, or your implementation of AI strategies without appropriate independent validation.

11. Privacy

Your personal data is handled in accordance with our Privacy Policy, which forms part of these Terms. By using our services, you consent to data processing as described therein.

12. Third-Party Links and Services

Our website may contain links to third-party websites or reference third-party tools for illustrative purposes. We do not endorse and are not responsible for the content, privacy practices, or availability of third-party sites or services.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Singapore. Any dispute arising from or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty days, disputes shall be submitted to the exclusive jurisdiction of the courts of Singapore.

14. Modifications

We may revise these Terms at any time by posting updated Terms on our website. Material changes will be indicated by updating the "Last updated" date. Continued use of our website or services after changes constitutes acceptance. For enrolled participants, the Terms in effect at the time of registration apply to that enrolment unless otherwise agreed.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect and shall not be affected by the invalid or unenforceable provision or by its severance from these Terms.

16. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any programme-specific agreement signed at enrolment, constitute the entire agreement between you and ProfitMindAI regarding use of our website and services. They supersede all prior oral or written communications on the same subject matter. No waiver of any provision shall be effective unless in writing and signed by an authorised representative of ProfitMindAI.
